Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the website operated by Freelance Data Solutions ("us", "we", or "our"). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms.

1. Services

Freelance Data Solutions provides data engineering, cloud architecture, and software development services. The specific scope of work, deliverables, and timelines for any project will be defined in a separate Statement of Work (SOW) or written agreement agreed upon by both parties.

2. Intellectual Property

Unless otherwise specified in a separate agreement:

• Client Ownership: Upon full payment of all fees, the Client shall own the intellectual property rights to the custom code and deliverables created specifically for them under the agreement.
• Background Technology: We retain the right to reuse standard libraries, scripts, and development tools that are not unique to the Client's project and do not contain Client Confidential Information.

3. Payment Terms

For freelance services, payment terms will be outlined in your specific project proposal or invoice. Standard terms are Net-15 or Net-30 unless otherwise agreed. We reserve the right to halt services if payments are outstanding beyond the agreed period.

4. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Freelance Data Solutions be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service; and
• Unauthorized access, use or alteration of your transmissions or content.

5. Third-Party Links

Our Service may contain links to third-party web sites or services (such as GitHub, LinkedIn, or Google Cloud) that are not owned or controlled by Freelance Data Solutions. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party web sites or services.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

7. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
